The Supreme Court examined whether Khurana Oleo Chemical was entitled to exemption under an area-based excise relief scheme after taking over M/s. Stanley Controls. The primary and appellate authorities found that Stanley Controls was non-functional when acquired, and the takeover was motivated solely by obtaining exemption benefits. The Tribunal, however, did not address this critical contention. The Court held that the Tribunal's failure to record findings on whether the takeover was bona fide or merely tactical was a material omission. The judgment was set aside and remanded for fresh consideration of the Revenue's factual assertions."
