In Brief
T. Takano, a former Managing Director of Ricoh India Limited, was issued a show cause notice by SEBI for alleged violations of securities regulations based on financial misstatements. SEBI refused to disclose its investigation report, claiming it was an internal document. The Supreme Court held that while the right to disclosure serves three purposes—reliability of verdicts, fair trial, and transparency—it is not absolute. The Court ruled that the investigation report must be disclosed to the noticee as it forms the basis of SEBI's satisfaction under regulatory proceedings. However, portions containing third-party personal information and confidential market data may be redacted, provided the authority justifies redactions in writing. The High Court's judgment was set aside, and the matter was remanded for fresh proceedings with proper disclosure."
