A cooperative union in Manipur convened a Special General Body Meeting by its Chairman on requisition from more than one-fifth of members to consider extending the Managing Director's contract. The respondent challenged this, arguing the Managing Director alone had power to convene such meetings. The Tribunal upheld the meeting as valid; the High Court reversed it. The Supreme Court allowed the appeal, holding that the Chairman, as an officer under the Act, is empowered to convene a General Body Meeting (including special meetings) upon receiving a proper member requisition, provided the notice is issued within one month. The appointment of the Managing Director through this meeting was therefore legal and valid.
