In Brief
St. Mary's Hotel Private Limited was owned by two family groups—Abraham Group and Aleyas Group—in dispute over share transfers. The Company Law Board upheld a 2002 share transfer of 2,20,000 shares from Bobby Kuriakose to T.O. Abraham. The High Court, on appeal, set aside the entire 2002 Board Resolution, including uncontested share transfers to other family members. The High Court then reviewed and corrected this error, confining the interference to only the challenged transfer. The Supreme Court dismissed the petitions, holding that the High Court's appellate jurisdiction was limited to the matters under appeal, and the review order properly corrected the overreach."
